Unit Information

• Contractual interpretation and the role of good faith in commercial contracts
• Agency
• Personal property law and bailment
• Sale of goods: passing of property and risk
• Sale of goods: remedies
• International sales contracts (CIF and FOB)
• Documentary credits

The bulk of the primary legal sources referred to during the unit will be common law (i.e. case law) authorities, the major exception being the Sale of Goods 1979.

Your learning on this unit

By the end of this unit a successful student will be able to:

• Explain the ways in which key contractual and personal property law principles can be relevant to a commercial transaction governed by English law.
• Describe and analyse legal rules and principles (both common law and statutory) that underpin commercial transactions
• Develop and defend an argument in relation to the interpretation and/or application of commercial law materials.
• Apply legal rules and principles from the case law and/or statutory provisions to complex problem scenarios.
• Offer a critical appraisal of relevant aspects of English commercial law, including proposals for reform or development of the law.

How much time the unit requires
Each credit equates to 10 hours of total student input. For example a 20 credit unit will take you 200 hours of study to complete. Your total learning time is made up of contact time, directed learning tasks, independent learning and assessment activity.

Assessment
The Board of Examiners will consider all cases where students have failed or not completed the assessments required for credit. The Board considers each student's outcomes across all the units which contribute to each year's programme of study. If you have self-certificated your absence from an assessment, you will normally be required to complete it the next time it runs (this is usually in the next assessment period).
The Board of Examiners will take into account any extenuating circumstances and operates within the Regulations and Code of Practice for Taught Programmes.
