Why do we need to know this stuff?
If you don't understand the principles that underlie the cell membrane potential (the physics as well as the physiology) then you will certainly have great difficulty making sense of the action potential.
An understanding of the action potential is required in:
Cardiovascular, gastrointestinal (motility) & nerve and muscle
The resting potential is important to the normal functions of many non-excitable cells
